A Company Secretary is a statutory position that every limited company in Hong Kong is required to appoint under the Companies Ordinance. The secretary is responsible for ensuring the company complies with company law, including filing annual returns, processing director changes, and maintaining statutory registers.
If a company has only one director, that director cannot simultaneously serve as company secretary. If a company has two or more directors, one of them may act as secretary, but must be a Hong Kong resident or a Hong Kong-registered company. Most companies appoint a professional company secretary service provider.
The Annual Return must be filed within 42 days of the company's anniversary of incorporation. For example, if a company was incorporated on 1 March 2020, it must file within 42 days of 1 March each year (i.e., by approximately 12 April). Late filing is subject to penalties.
